What usually explains the gap

In the common case, nothing sinister. A pro forma shows the asset stabilized — fully leased, at market, with the vacancy already absorbed — and that is a legitimate way to present a building.

The differences worth finding tend to be omissions rather than errors: no vacancy allowance, no replacement reserve, or rent presented in the same column whether the lease runs another eight years or expired last spring. A rent roll can be entirely truthful line by line and still leave you with that last impression.

Check the document’s own arithmetic first. If effective gross income minus expenses equals the stated NOI, and that NOI over the price equals the stated cap, then there is no maths error to find — and what remains is what has been left out, which is the more interesting question anyway.

Read the expiry dates against the document's own date

It needs no assumption from you and no correction of theirs. Just their dates against the day they published — and it is the single fastest way to find out whether the income column means what it appears to mean.

What should I check first in an offering memorandum?

Whether the stated cap rate is computed on income the rent roll actually supports. Almost everything else follows from that: a pro-forma NOI with no vacancy allowance, no reserve, or rent on leases that have expired will produce a perfectly arithmetically correct cap rate that describes a building you cannot buy.

Is a gap between stated and derived cap rate a red flag?

Not by itself. A pro forma showing the asset stabilized is doing what a pro forma is for. What matters is what explains the gap — a reserve every lender would apply is ordinary; rent sitting on leases that ended two years ago is a different conversation.
