DealWise AI – Terms & Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the DealWise AI platform, website, software, financial models, and related services (collectively, the “Platform”) operated by DealWise AI, LLC (“DealWise,” “we,” “our,” or “us”).
By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not access or use the Platform.
1. Description of the Platform
DealWise AI provides software tools designed to assist users in evaluating commercial real estate investments. The features available to any user vary by plan and change over time. Nothing in these Terms is a commitment that any particular feature is, or will be, available.
The Platform may include, in whole or in part and from time to time:
- Acquisition underwriting models
- Portfolio analytics dashboards
- Rent roll and lease analysis tools
- Financial projections and scenario modeling
- AI-generated deal analysis and investment insights
- Market benchmarking and data visualization tools
The Platform is intended to assist users in evaluating real estate opportunities but does not provide professional services.
2. Business Use Only
The Platform is intended for use by commercial real estate investors, brokers, lenders, developers, and other business users evaluating real estate opportunities. The Platform is not intended for personal consumer financial planning or retail investment advice.
3. No Investment, Legal, or Financial Advice
The Platform is provided for informational and analytical purposes only.
DealWise AI is not a registered investment advisor, broker-dealer, real estate broker, financial advisor, accountant, or law firm.
Nothing on the Platform constitutes:
- investment advice
- legal advice
- financial advice
- tax advice
- a recommendation to buy, sell, finance, or hold any investment
Users should consult licensed professionals before making financial or investment decisions.
4. AI-Generated Analysis and Financial Modeling Disclaimer
The Platform relies on artificial intelligence systems and automated financial modeling tools to generate projections, assumptions, and analytical insights.
Users acknowledge and agree that:
- AI-generated outputs may contain errors, inaccuracies, omissions, or incomplete assumptions
- Financial projections are hypothetical and may not reflect actual performance
- Results depend entirely on user-provided data and assumptions
- Market data and benchmarks may be estimated, delayed, or incomplete
AI-generated analyses, projections, insights, and financial outputs are provided strictly for informational purposes and should not be relied upon as the sole basis for any investment, financing, underwriting, or real estate decision.
Users are solely responsible for independently verifying all data, assumptions, and outputs before making financial decisions.
5. User Responsibility for Inputs and Assumptions
Users are solely responsible for all information entered into the Platform, including:
- purchase prices
- lease terms
- rent rolls
- operating expenses
- debt assumptions
- exit assumptions
- market growth assumptions
DealWise AI does not verify user inputs. All outputs depend on the accuracy and completeness of user-provided information.
6. Document Uploads and User Authorization
Users may upload documents including but not limited to:
- lease agreements
- tenant financial statements
- rent rolls
- offering memorandums
- property financials
By uploading any document, the user represents and warrants that:
- they have legal authority to upload and use the document
- the upload does not violate confidentiality obligations
- they have obtained permission from relevant parties
- the document does not contain unlawful material
Users retain ownership of uploaded content.
7. Data Use and Platform Improvement
DealWise AI may use aggregated and anonymized data derived from user activity to:
- improve platform performance
- enhance artificial intelligence systems
- improve financial modeling accuracy
- develop additional features
DealWise AI will not sell identifiable user financial data without consent.
8. Intellectual Property
All software, algorithms, financial models, artificial intelligence systems, dashboards, designs, and platform content are the exclusive property of DealWise AI, LLC.
Users may not:
- copy or reproduce the Platform
- reverse engineer the Platform
- scrape platform data
- replicate DealWise financial models
- build competing products using the Platform
9. User Accounts
Users are responsible for maintaining the confidentiality of login credentials and all activity under their account.
DealWise AI is not responsible for damages resulting from unauthorized account access.
10. Acceptable Use
Users agree not to:
- upload malicious software
- attempt to disrupt platform security
- upload unlawful material
- use the Platform in violation of applicable laws
- interfere with system integrity
DealWise AI reserves the right to suspend or terminate accounts that violate these Terms.
11. Platform Availability and Warranty Disclaimer
The Platform is provided on an “as is” and “as available” basis.
DealWise AI makes no warranties, express or implied, including warranties of accuracy, reliability, fitness for a particular purpose, merchantability, or non-infringement.
DealWise AI does not guarantee uninterrupted access, error-free performance, or protection from harmful components.
12. Subscription and Billing
Certain features of the Platform require payment of subscription fees.
Subscriptions automatically renew unless cancelled prior to the renewal date.
Fees are non-refundable except where required by law.
DealWise AI reserves the right to modify pricing with reasonable notice.
13. Data Storage and Loss
Users acknowledge that financial models and uploaded documents are stored electronically.
DealWise AI does not guarantee protection from data loss, corruption, or unauthorized access.
Users are responsible for maintaining independent backups of critical data.
14. Exported Reports and Third-Party Reliance
Users are solely responsible for any distribution, sharing, or reliance upon reports or analyses generated through the Platform.
DealWise AI shall not be responsible for third-party reliance on exported materials.
15. Limitation of Liability
To the maximum extent permitted by law, DealWise AI shall not be liable for any indirect, consequential, investment-related, or financial damages arising from use of the Platform.
The total cumulative liability of DealWise AI shall not exceed the total fees paid by the user during the twelve (12) months preceding the claim.
Users assume full responsibility for all investment decisions.
16. Indemnification
Users agree to indemnify and hold harmless DealWise AI, LLC from any claims, damages, liabilities, or expenses arising from:
- use of the Platform
- uploaded documents
- violation of these Terms
- misuse of platform outputs
17. Arbitration Agreement
Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association.
Arbitration shall take place in Texas.
18. Class Action Waiver
Users agree that disputes must be brought on an individual basis and waive the right to participate in class actions or representative proceedings.
19. Termination
DealWise AI reserves the right to suspend or terminate accounts that violate these Terms or misuse the Platform.
20. Governing Law
These Terms shall be governed by the laws of the State of Texas.
